ARTICLE II

 

ORGANIZATIONAL RULES

 

Membership, National Council and the National Board of Directors

 

201. Membership

 

The Federation shall be governed by the National Council, which shall consist of:

 

(a)       The National Board of Directors, each member having one vote.

 

(b)       Any Futsal State Association in good standing and meeting the membership qualification as outlined in the By-Laws of this Federation.

 

(c)        Any amateur sport organization engaged in the sport of Futsal as promulgated by the United States Futsal Federation and conducting, on a level of proficiency appropriate for the selection of amateur athletes to represent the United States in international amateur athletic competition in the sport of Futsal, a national program or a regular national amateur athletic competition.

 

(d)       Three Members from the National Coaches Association.

 

(e)       Three Members from the National Players Association.

 

(f)         Three Members from the National Referees Association.

 

(g)       Three Members representing the National Organizations.

 

(h)        Three Members representing the Professional Organizations.

 

Federation membership is opened to any individual, and membership without vote may be granted by the National Council to allied sports organizations.

 

 

202. General Membership Qualifications and Duties

 

(a)       Admission of New Members

 

Futsal State Associations may be admitted as members at any meeting of the National Council. All new members are under at least one year probation. Each Association on filing its application for membership in this Federation shall submit seven (7) copies of its rules, regulations, and by laws to the Rules and Revision Committee of the Federation, which shall have power to reject them until properly drawn up; and any subsequent changes in or additions to such duly approved rules, regulations, and by-laws must be submitted to and approved by the Rules and Revision Committee before definite enactment. Provisional recognition may, however, be granted by the National Board of Directors pending the approval of the rules, regulations, and by-laws of such applicant by the Rules and Revision Committee.

 

(b)       Submission of Rule Changes

 

All members of this Federation shall, within three months after their Annual General Meeting, file with the Rules and Revisions Committee changes in its rules, regulations, and by-laws for the ensuing season. For failure to comply with this rule, affiliated bodies shall be subject to appropriate sanctions by the National Council.

 

(c)        New Combinations Affecting Existing Associations

 

New associations, leagues, cup competitions, or other combinations of clubs, teams, players, or officials, being formed within an existing State Association shall not be formed without the consent of the organization concerned. In the event of new formations involving two or more affiliated consenting State Associations, consent must also be obtained from the National Council. Unless otherwise approved, State Associations are defined by the State boundaries of this country.

 

(d)       Alteration of Territory

 

State Associations and other bodies affiliated with this Federation shall neither extend nor alter their areas without having obtained the consent of the National Council.

 

(e)       Notice of Composition of Membership

 

State Associations and other bodies affiliated with this Federation shall forward to the Secretary on or before February 1st of each year a list of all the leagues, combinations, or cup competitions comprised within their membership. Leagues must follow whenever possible the same boundaries as those of leagues under the jurisdiction of USYSA.  Notice of additional members shall be sent to the Secretary within two weeks after their admission to membership.

 

(f)         Fiscal Year

 

The fiscal year will be defined to begin on the first of May and to end on the thirty of March.

(g)       Annual Report and Financial Statement

 

Futsal State Associations, National Associations, and other bodies holding membership in this Federation shall prepare and file two (2) weeks before the annual general meeting of the National Council, each year, a statement showing the progress of the game in the district within their respective jurisdictions, showing the number of active players, teams, clubs, leagues, or other combinations, together with the number of games played, competitions completed, and reasons for failure to complete competition when such is the case, and reasons for the premature disbanding of teams. This information is to be distributed among the affiliated Associations. Such members shall furnish also a financial statement for the period subsequent to the date of the preceding annual general meeting up to two (2) weeks before the annual general meeting at which the report is to be presented.

 

 

203. Membership Dues

 

(a)       Futsal Associations and other affiliated bodies, shall pay annually to this Federation a minimum fee of one hundred fifty dollars ($150.00), and a fee for each player and team, that will be determined by the National Council from time to time. Until the first annual dues of the Futsal Association have been paid, no representation on the National Council will be allowed.

 

(b)       All dues for the ensuing year are payable on or before the annual meeting. Any Association or other body in membership which shall have failed to pay its annual dues or other indebtedness on or before the annual meeting shall have no representation on the National Council and be liable to appropriate action by the National Council.

 

 

204. National Council and Member Voting Rights

 

The Federation shall be governed by the National Council who shall have the authority to elect the officers of the USFF and to remove the same for cause; to enact, amend, or repeal the By Laws as provided in Article IX, section 901; to admit new members, to reclassify and to terminate the membership of members, as provided in Article II, section 202; to receive and review the reports of the National Board of Directors, of the Executive Committee, and of all committees or other persons, concerning the activities of the USFF, and to take such other action as is customary and proper of the members of a corporation. The National Council shall consist of:

 

 (a)      The officers (See 301), who shall be citizens of the United States.

 

(b)       The representatives from each State Association temporarily fulfilling the functions of a State Association, from each other body as defined in these By Laws, and any National organization accepted in membership through direct affiliation.

 

(1)       Each Futsal State Association or organization temporarily an actual bona-fide Dues paying membership of not less than four hundred (400) nor more than three thousand (3000) players, in good standing shall be entitled to one representative. Each representative shall be entitled to one vote. State Associations having more than three thousand (3000) players, but less than ten thousand (10,000) players, in good standing shall be entitled to two representatives. State Associations having more than ten thousand (10,000) players, but less than thirty five thousand (35,000) players, in good standing shall be entitled to three (3) representatives. State Associations having more than thirty five thousand (35,000) players, but less than sixty thousand (60,000) players, in good standing shall be entitled to four (4) representatives.  State Associations having more than sixty thousand (60,000) players, but less than ninety thousand (90,000) players, in good standing shall be entitled to five (5) representatives. State associations having more than ninety thousand (90,000) players, but less than one hundred twenty five thousand (125,000) players, in good standing shall be entitled to six (6) representatives. State associations having more than one hundred twenty five thousand (125,000) players, but less than one hundred fifty thousand (150,000) players, in good standing shall be entitled to seven (7) representatives. State associations having more than one hundred fifty thousand (150,000) players, but less than one hundred seventy five thousand (175,000) players, in good standing shall be entitled to eight (8) representatives. State associations having more than one hundred seventy five thousand (175,000) players, but less than two hundred thousand (200,000) players, in good standing shall be entitled to nine (9) representatives. State associations having in excess of two hundred thousand (200,000) players registered shall be entitled to ten (10) representatives. No more than ten (10) representatives shall be allowed from a State Association, or other National Organization. State Associations or National Organizations with less than four hundred (400) players will be allowed representation without vote. A lesser number of representatives present may cast the full number of votes to which such a State Association or National Organization is thus entitled.

 

            (2)       Three Representatives from the National Referees Association.

 

(3)       Three Representatives from the National Coaches Association.

 

(4)       Three Representatives from the National Players Association.

 

(5)       Three Representatives from the National Organizations.

 

(6)       Three Representatives from the Professional Organizations.

 

 

(c)        The Immediate Past Chairman present at any meeting of the Federation shall be entitled to voice and to cast one vote.

 

(d)       If at any meeting of the National Council two (2) or more representatives representing a Futsal State Association, National Organization, or other affiliated body of the USFF should fail to agree upon a question pending before the meeting, the total vote to which such member may be entitled under the provision of these By Laws shall be counted in ratio to such difference.

 

(e)       Any affiliated Futsal State Association, National Organization, or other affiliated body of the USFF, may at any time, on written notice to the Secretary General of the USFF, withdraw any of its representatives or alternates and substitute a like number of representatives or alternates for those withdrawn.

 

(f)         No representative or alternate shall be entitled to represent more than one (1) member organization of the USFF. No representative or alternate shall be entitled to represent any member organization of the USFF unless he or she is an officer or a member of the governing board thereof or has been duly appointed by the member organization whose credentials he or she holds. All representatives and alternates must present their credentials to the USFF through its no less than forty five (45) days prior to the date of the meeting.

 

No area, state, district, or territory shall be represented in the National Council of the United States Futsal Federation unless admitted to membership under Rule 204.

 

 

205.    National Board of Directors

 

Subject to the limitations of these By Laws, and to actions to be authorized or approved by the National Council, and to the duties as prescribed by these By Laws, all Federation powers shall be exercised by or under the authority of, and the business affairs of the Federation shall be controlled by, the National Board of Directors that shall administer the affairs of the Federation between National Council meetings.  Officers from the affiliated National Organizations shall be appointed annually. These officers shall serve a one-year term, or until his or her successor is selected. The National Board of Directors shall consist of the following officers; selected without discrimination on the basis of sex, race, religion, politics or national origin who shall have one (1) vote, unless otherwise herein provided;

 

(a)       The Chairman

 

(b)       President & CEO - 

 

(c)        The Vice Presidents (5) 

 

(d)       Treasurer

 

(e)       The immediate Past Chairman

 

(f)         One Director selected to represent the National Organizations

 

(g)       One Director selected to represent the Professional Organizations

 

(h)        One Representative from the National Referee Association

 

(i)         One Representative from the National Coaches Association

 

(j)         One or more Representatives(s) from the National Players Association as needed to fulfill the 20% active athlete requirement of the board

 

The National Board of Directors shall meet when necessary during the periods between national Council meetings. The Chairman shall preside over Board Meetings. Honorary officers, selected by the National Council to the National Board of Directors, shall be entitled to attend meetings of the National Board of Directors with voice, but without vote. No officer shall be elected to the National Board of Directors of the USFF if he/she is an officer of any other Amateur non soccer related Sports Organization recognized as a National Governing Body.

 

 

206. Executive Committee

 

The Executive Committee, under the Chairmanship of the Chairman of the USFF shall have the authority to act in the place of the National Board of Directors between National Board of Directors meetings. The Executive Committee shall have five members, consisting of the Chairman, the President - , the two first Vice Presidents and the treasurer.

 

 

207. Authority of the National Board of Directors

 

(a)       The National Board of Directors shall have full authority to act for the Federation in all matters of administration, and shall make a report to the National Council at its meetings of whatever business has been done by it.

 

(b)       The National Board of Directors shall have power to incur pecuniary liabilities on behalf of the Federation.

 

(c)               The National Board of Directors shall have full power whenever in its sole and exclusive judgment it shall find after an investigation conducted by it that conditions in an affiliated State Association or State Commission have become and continue to be inimical to the best interests of Futsal and the United States of America Futsal Federation, to appoint a commission to administer the affairs of the delinquent association until the next meeting of the National Council for action.

 

 

208. National Council Representatives

 

(a)       All representatives to this National Council shall be elected in accordance with the rules and regulations of the affiliated Futsal State Association, Commission, or other affiliated body, if not in conflict with these rules.

 

(b)       Active amateur players shall be fully eligible to serve as representatives and any rule to the contrary shall be void.

 

(c)        Alternates to representatives may attend the meetings of the National Council. Alternates shall not have a vote in the presence of the representative, but shall have the right to speak.

 

(d)       No representative shall be allowed to vote in behalf of more than one association.

 

(e)       Vote by Proxy shall be permitted

 

 

209. National Council - Eligibility to Vote

 

(a)       Except as otherwise provided herein, only dues paying members shall be entitled to vote at meetings of the National Council.

 

(b)       The right of the officers to vote, as herein provided, shall cease at that part of the next annual general meeting following their term of office when a temporary chairman has been appointed to conduct the elections of officers for the ensuing year. This applies also to all Futsal State Associations and Commissions.

 

 

210. Delegation by the National Council

 

 

The National Council may delegate any of its powers to committees or commissions or to any affiliated Association.

 

 

211. National Council and National Board of Directors Quorum

 

A simple majority of the voting membership in good standing will form a quorum. Whenever, during the transaction of the business, it is stated to the Chairman that a quorum is not present, the Chairman shall declare the meeting at an end.

 

 

 

212. Special Meetings of the National Council

 

National Council meetings shall be called by the President & CEO   at the request of the Chairman at any time, by fifty percent (50%) of the National Board of Directors, or by Members constituting not less than five (5) affiliated Associations within thirty days from receipt of said request. The notice must be sent out by the  within fourteen days of the request.

 

 

213. Annual General Meeting of the National Council.

 

There shall be an annual general meeting of the National Council held on a date and at a place each year to be fixed by the Chairman. Place and hour of meeting of the National Council shall be fixed by the Chairman as occasion demands, but shall be held no later than August 31.

 

In the event of an emergency, or under unusual circumstances, an annual general meeting may be postponed by a majority mail vote of the entire National Council, in which case authority shall be vested in the incumbent officers of the Federation to continue in office until an annual general meeting shall be held.

 

 

214. Notice of the National Council Meeting.

 

The President & CEO shall give two (2) month notice to each member of every meeting of the National Council to be followed by an agenda of the business. This notice shall include the time and place of the meeting. Meetings of the National Board of Directors shall be every three month, or as called by the Chairman of the Federation, on ten (10) days written prior notice to each member, in addition, whenever a majority of the members of the National Board of Directors so requests in writing.

 

 

215. Binding Effect of the National Board of Directors Decisions.

 

Resolutions and decisions of the National Board of Directors shall be binding upon all affiliated Associations and all members thereof until they are rescinded, reconsidered, or varied by the vote of a majority present and voting at a meeting of the National Council.

 

216. Passes to National Council Members.

 

Each member of the National Council shall be furnished with a pass (which shall not be transferable) and all clubs and competitions under the jurisdiction of this Federation shall admit the holder to their grounds and stands upon presentation of such passes.
